General terms for using this website and for project work with BasalBit GmbH unless a separate written agreement applies.

1. Scope and Order of Precedence

These terms apply to use of this website and to general business relationships with BasalBit GmbH. Project-specific contracts, offers, statements of work, order confirmations, data-processing agreements, or non-disclosure agreements take precedence over these general terms if they contain different provisions.

Customer purchasing terms or other third-party terms do not apply unless BasalBit GmbH expressly accepts them in writing.

2. Services and Definitions

BasalBit GmbH provides software development, web and mobile application engineering, product consulting, system integration, cloud and infrastructure support, maintenance, and related digital services. The exact scope, deliverables, timeline, fees, and acceptance criteria are defined in the relevant project documents.

3. Offers and Contract Formation

Information on this website is not a binding offer. A contract is formed only when both parties agree to the relevant commercial and project terms in writing or when BasalBit GmbH accepts an order. Changes or additions are documented in text form or writing.

4. Website Use

You may use this website for lawful information and contact purposes only. You must not misuse the website, interfere with its operation, attempt unauthorized access, or use the content in a way that violates applicable law or third-party rights.

5. Customer Cooperation

Successful software work depends on timely cooperation. The customer must provide required information, access, systems, test data, feedback, approvals, and decisions in time and at its own cost unless otherwise agreed.

If delayed, incomplete, or incorrect cooperation affects delivery, timelines may shift and additional effort may be charged according to the agreed rates or a separate agreement.

6. Delivery, Review, and Acceptance

For project deliverables that require acceptance, the customer reviews the deliverable without undue delay and reports material defects in a reproducible form. Minor defects that do not materially impair use do not prevent acceptance.

A deliverable may be deemed accepted if the customer uses it productively, confirms acceptance, or does not report material defects within a reasonable review period after delivery.

7. Third-Party Services and Subcontractors

BasalBit GmbH may involve carefully selected subcontractors where appropriate. Third-party cloud services, app stores, APIs, software libraries, or vendor products may be subject to their own terms, licenses, availability, and data-protection rules.

8. Fees and Payment

Fees, currency, expenses, payment milestones, taxes, and invoicing terms are defined in the relevant offer or project agreement. Indicative ranges shown on this website are non-binding and may be displayed in different currencies based on browser-provided region signals. Unless otherwise agreed, statutory VAT is added where applicable and invoices are payable without deduction by the due date stated on the invoice.

9. Intellectual Property and Usage Rights

Website content, brand elements, software, documentation, and other materials are protected by copyright and other rights. Project-specific ownership and usage rights are defined in the relevant written agreement.

Unless otherwise agreed, pre-existing know-how, reusable components, frameworks, tools, libraries, templates, and general methods remain with their original owner. Third-party and open-source components remain subject to their respective licenses.

10. Warranty, Defects, and Maintenance

Warranty and defect handling for project work are governed by the applicable agreement and mandatory law. Maintenance, support, service levels, and response times apply only if separately agreed.

11. Confidentiality and Data Protection

Both parties treat non-public business, technical, and project information confidentially. Specific confidentiality obligations are documented in an NDA or project agreement. Processing of personal data is handled according to the privacy policy and, where required, a data-processing agreement.

12. Website Availability, Liability, and Termination

We aim to keep this website available and accurate, but we do not guarantee uninterrupted availability or that all content is always complete, current, or error-free. Statutory liability remains unaffected. Outside mandatory liability, liability is governed by the applicable agreement and German law. Ongoing services may be terminated according to the relevant contract terms or statutory rules.

13. Governing Law and Venue

These terms and contractual relationships with BasalBit GmbH are governed by German law unless mandatory law requires otherwise. Place of jurisdiction is determined by the applicable statutory rules and any valid written agreement between the parties.
